1. Acceptance of Terms
By accessing or using GripAi services (including the website at gripai.uk, the Safety API, and related services), you agree to be bound by these Terms of Service ("Terms"). If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use our services.
2. Service Description
GripAi provides the following services:
- Safety API: AI-powered content moderation API with toxicity, grooming, scam, harassment, and sexual content detection, age-aware scoring, and compliance reporting
- Gaming Intelligence: Crawling and aggregation of public gaming incident data, bug reports, and crash analytics
- Hardware & Driver Monitoring: Tracking hardware compatibility issues and driver updates
We reserve the right to modify, suspend, or discontinue any part of our services with reasonable notice.
3. Account Registration and API Access
- You must provide accurate and complete information when registering
- You are responsible for maintaining the security of your account credentials and API keys
- You must notify us immediately of any unauthorised access to your account
- API keys are personal to your account and must not be shared or published publicly
- We may suspend or revoke API access for violations of these Terms or for security reasons
4. Subscription Plans and Payment
4.1 Plans

4.2 Billing
- Paid subscriptions are billed monthly in advance in British Pounds (GBP)
- All prices exclude VAT where applicable
- Payments are processed securely by Stripe. By subscribing, you also agree to Stripe's Terms of Service
- We may change pricing with 30 days' advance notice. Existing subscriptions will not be affected until renewal
4.3 Cancellation and Refunds
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
- No partial refunds are provided for unused portions of a billing period
- If you cancel within the first 14 days of a new subscription (your cooling-off period under UK Consumer Contracts Regulations 2013), you may request a full refund

4.4 Free Trial
Paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your chosen plan will begin billing automatically.
5. Acceptable Use
You agree not to:
- Use our services for any illegal purpose or in violation of any applicable law
- Attempt to bypass rate limits, authentication, or security measures
- Reverse-engineer, decompile, or disassemble our AI models or classifiers
- Submit content to the Safety API solely for the purpose of generating training data for competing products
- Resell API access or provide our services to third parties without written agreement
- Use the API to process content in a manner that violates the rights of individuals
- Interfere with, disrupt, or place an unreasonable burden on our infrastructure
- Misrepresent GripAi compliance reports as your own proprietary technology to regulators
6. Rate Limits and Fair Usage
- API rate limits apply per plan as documented in our API documentation
- Exceeding your monthly message allocation will result in requests being rate-limited until the next billing cycle
- Sustained abuse of rate limits may result in temporary or permanent suspension of API access
7. Service Level and Availability
7.1 Availability Target
We target 99.5% monthly uptime for the Safety API. This excludes scheduled maintenance windows, which we will announce with at least 24 hours' notice where reasonably practicable.
7.2 Enterprise SLA
Enterprise customers receive a formal Service Level Agreement (SLA) with defined uptime guarantees, response times, and service credits. Contact us for details.
7.3 No Guarantee
For non-Enterprise plans, our availability target is a goal, not a guarantee. We do not provide service credits for downtime on Indie, Pro, or Studio plans.
8. Data Processing
- When you use the Safety API, you act as the data controller for the content you submit, and GripAi acts as the data processor
- We process submitted content solely for the purpose of providing moderation decisions and compliance reports
- We do not use content submitted to the Safety API to train our AI models
- For Studio and Enterprise plans, a Data Processing Agreement (DPA) is available upon request

9. Intellectual Property
- GripAi retains all intellectual property rights in our services, API, AI models, classifiers, algorithms, documentation, and website content
- We grant you a limited, non-exclusive, non-transferable, revocable licence to use our services in accordance with these Terms and your subscription plan
- You retain all rights to content you submit to the Safety API
- GripAi compliance reports and audit logs generated from your data belong to you
10. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party, including API keys, business data, and technical information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Limitation of Liability
- To the maximum extent permitted by law, GripAi's total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees you have paid to us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, business, or goodwill
- Important: GripAi's Safety API provides automated content moderation recommendations. These are not a substitute for human moderation judgement. We do not guarantee that our classifiers will detect all harmful content, and you remain responsible for your platform's compliance with applicable laws, including the UK Online Safety Act
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law
12. Indemnification
You agree to indemnify and hold harmless GripAi and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our services
- Your breach of these Terms
- Content you submit to the Safety API
- Your violation of any applicable law or regulation
13. Termination
- By you: You may terminate your account at any time by contacting us at hello@gamegrip.cloud
- By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law
- Effect of termination: Upon termination, your API access will be revoked. You may export your audit logs and compliance data within 30 days of termination. After 30 days, your data will be deleted in accordance with our Privacy Policy
- Sections 9, 10, 11, 12, 14, and 15 survive termination
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you retain any mandatory consumer protection rights under the law of your country of residence.
15. Force Majeure
GripAi shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or industrial action.
16. General
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and GripAi
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force
- Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email to registered users at least 30 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
